1. Agreement to terms

These Terms of Service are an agreement between you and aimley OÜ, a private limited company registered in Estonia (registry code 14585949) with its registered address at Tornimäe tn 5, 10145 Tallinn, Estonia. aimley OÜ operates Perception. In these Terms, "Perception", "we" and "us" mean aimley OÜ.

These Terms cover perception.to, app.perception.to, the Perception MCP connector, the Perception REST API and any related services (together, the "Services"). By accessing or using the Services, you agree to these Terms and to the laws and regulations that apply to you. If you do not agree, stop using the Services.

2. Description of service

Perception provides narrative intelligence for the digital asset industry, drawn from a cited public record of media coverage, podcasts, company disclosures, regulatory filings, earnings calls and public conversations. The Services include:

  • The Perception MCP connector and REST API, which let AI assistants and your own applications query that record
  • The Perception dashboard at app.perception.to, with briefings, alerts, research and monitoring tools
  • The Perception Index, our Bitcoin sentiment index, and its history
  • Perception Systems, private intelligence desks and embedded products scoped separately for each customer
  • Research, reports and educational resources on perception.to

We may change, suspend or discontinue any part of the Services at any time, with or without notice, to maintain service quality and security.

3. User accounts and registration

You need an account to use the dashboard, the free daily credits and paid plans. When you register, give us accurate and complete information. You are responsible for:

  • Keeping your password and API keys secure and confidential
  • All activity, transactions and communications under your account
  • Telling us right away about any unauthorized access or security breach
  • Keeping your account information current and accurate
  • Following the laws and regulations that apply to you

You must be at least 18 years old or the age of majority in your jurisdiction to create an account. Accounts registered by automated means or bots are prohibited.

4. Acceptable use policy

You agree to use the Services responsibly. You agree NOT to:

  • Violate any applicable local, state, national or international law or regulation
  • Infringe intellectual property rights, including copyrights, trademarks or patents
  • Try to gain unauthorized access to the Services, our systems or other users' accounts
  • Use the Services for market manipulation, fraud or other illegal financial activity
  • Distribute malware, viruses or other harmful code
  • Scrape or bulk-download perception.to or app.perception.to by automated means. The MCP connector and REST API are the supported routes for automated access.
  • Get around rate limits, credit allowances or other usage limits, including by opening more than one free account
  • Share, resell or redistribute our data without our written permission
  • Interfere with or disrupt the normal operation of the Services
  • Impersonate any person or entity or misrepresent your affiliation

5. Plans, credits and payment

A free account includes 5 free weighted credits per day to use with the MCP connector. Paid plans and pay-as-you-go credits carry fees. Current prices, credit allowances and usage limits are on our pricing page. Stripe processes all card payments. When you pay for a plan or credits, you agree to:

  • Pay all fees at the prices in effect when the charge is made
  • Give us accurate billing information and keep your payment method current
  • Let your subscription renew automatically each month or year until you cancel it
  • Take responsibility for all charges made under your account

To cancel a subscription, use Manage Subscription on the billing page of your account settings, or email us. We will give you 30 days' notice before we change the price of your plan.

If you think we charged you in error, email us and we will review it. When a credit purchase is refunded or disputed with your card issuer, we remove the credits it bought. If you already used those credits, we pause paid credit use on your account until the balance is settled.

6. Data usage and privacy

Our Privacy Policy explains what personal information we collect, why we collect it, who we share it with, how long we keep it and what you can ask us to do with it. If your company has signed a data processing agreement with us, that agreement governs the personal data we process on your company's behalf.

7. Intellectual property rights

aimley OÜ or its licensors own the Services, including the software, algorithms, data compilations, methodologies and design. Copyright, database rights and other intellectual property laws protect them. This includes:

  • Our sentiment and narrative analysis methods
  • Data compilations, reports and analysis
  • Software, the MCP connector, the REST API and technical documentation
  • The Perception name and logo
  • Website and app design

The articles, posts, filings and other source material in our record belong to their original publishers and authors.

You may use what the Services return in your own work and share it inside your organization. Beyond that, you may not reproduce, distribute, modify or create derivative works without our written permission.

8. Financial disclaimer and investment risks

IMPORTANT: Our Services provide market intelligence and sentiment analysis for informational purposes only. This information does not constitute financial advice, investment recommendations, or trading signals. You acknowledge that:

  • All financial trading involves substantial risk of loss
  • Past performance does not guarantee future results
  • You should consult qualified financial advisors before making investment decisions
  • We are not liable for any trading losses or investment decisions based on our data
  • Market sentiment data should be used as one factor among many in your analysis

9. Limitation of liability and disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIMLEY OÜ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Trading losses or investment damages
  • Service interruptions or data inaccuracies
  • Third-party actions or market volatility

Our total liability for any claim shall not exceed the amount you paid for our Services in the 12 months preceding the claim.

10. Account termination and suspension

You can close your account at any time by emailing us. We may terminate, suspend or restrict your account and access to the Services immediately, with or without notice, for:

  • Violation of these Terms, including the acceptable use policy in section 4
  • Suspected fraudulent, abusive or illegal activity
  • Non-payment of fees or chargebacks
  • Breach of security or unauthorized access attempts
  • Harm to other users, our reputation or business operations

When your account ends, your right to use the Services ends immediately. We keep some records afterwards where the law requires it, including invoices and payment records, which Estonian accounting law requires us to keep for seven years. Our Privacy Policy explains what we delete and when.

11. Modifications to terms

We may change these Terms to reflect changes in the Services, the law or our business. We will give you advance notice of material changes by email or with a notice on perception.to or in the app.

Continued use of our Services after the effective date constitutes acceptance of the updated Terms.

12. Governing law and dispute resolution

These Terms are governed by the laws of Estonia. The courts of Estonia, with Harju County Court in Tallinn as the court of first instance, have exclusive jurisdiction over any dispute about these Terms or the Services. If you are a consumer, you keep the protection of the mandatory laws of the country where you live and may also bring a claim in the courts there.

13. Severability and entire agreement

If any provision of these Terms is found unenforceable or invalid, the remaining provisions stay in full force and effect. These Terms, our Privacy Policy and any agreement you sign with us, such as an order form or data processing agreement, are the entire agreement between you and aimley OÜ about the Services. If a signed agreement conflicts with these Terms, the signed agreement applies.
